MEMORANDUM AND ARTICLES OF ASSOCIATION
OF THE ENPC-MBA WINNERS MOROCCO ASSOCIATION

MOROCCAN ASSOCIATION GOVERNED BY THE DAHIR OF NOVEMBER 15th, 1958 AS MODIFIED BY THE DAHIR N°1-72-283 OF APRIL, 10th, 1973 AND THE DAHIR N°1-02-206 OF JULY 23rd, 2002

Article 1 – Designation
An association was set up between the adherents to the hereby memorandum and articles of association, governed by the dahir 1.58.376 of Joumada, 3rd, 1378 corresponding to November,15th, 1958 as modified by the dahir n°1-72-283 of April, 10th, 1973, designated as : «ASSOCIATION DES LAUREATS DE L’ENPC-MBA MAROC» (ENPC-MBA WINNERS MOROCCO ASSOCIATION).

Article 2 – Aim
The aim of this association is to :
  Promote The ENPC MBA;
  Maintain and develop friendship and cultural relationships between its members;
  Organise scientific, technical and cultural activities;
  Assist and guide its members in the management of their career;
  Maintain relationships with national and international associations and organisations   having similar or complementary objectives.

Article 3 – Address
The registered office of the association is at the Ecole Hassania des Travaux Publics, Km 7, Route d'El Jadida, B.P. 8108, Casablanca.
The registered office may be transferred to any other place upon decision by the association committee approved in general meeting.

Article 4 – Duration
The association is set up for an unlimited duration/period.

Article 5 – Membership
To become a member of the association, the candidate must:
 Be an ENPC MBA winner or participate to an ENPC-MBA programme during the academic year in progress;
 Pay the annual membership subscription;
 Fill in a membership form.
Article 6 – Honorary Members
The general meeting may grant, upon a proposal by the committee, the title of «honorary member» to any key figure likely to contribute and assist the association in reaching its objectives.
 
Article 7 – Subscription
An annual subscription must be paid by the adherents. The amount is fixed by the Policies and Procedures of the association and may be modified upon decision in ordinary general meeting.

Article 8 – Deregistration
The quality of member may be lost in case of :
Death;
Resignation that must be submitted in written to the association committee;
Deregistration decided by the committee due to non-payment of the annual subscription or due to a serious misdemeanour interfering with the interests of the association or one of the members.
Article 9 : Registers – Documents
When the Association was set up, the following documents were created and maintained updated:
A register of adherents;
A manual of policies and procedures.
 
Article 10 : Accounting Period
The accounting period begins on January, 1st and finishes on December 31st of each year.
 
Article 11 – Resources
The resources of the association include:
Membership annual subscriptions;
Revenues generated by the activities of the association;
Subsidies and donations by members;
Any other resource authorised by the law in force.
 
Article 12 –Account Management and Accounting Records Signature
The funds of the association are put on a bank account at the name of the association.
The account of the association is managed jointly by the President and the Treasurer.
Any accounting record must be signed by the President and the Treasurer.
Signature may be delegated to the Vice-Presidents or the General Secretary by the President and to the Assistant Treasurer by the Treasurer.
The double signature of the President and the Treasurer or their proxies is necessary in all cases.
 
Article 13 – Association Committee
The Association is managed by a committee of eleven (11) members elected for two (2) years by the ordinary general meeting. Only members of the Association having obtained their ENPC-MBA diploma at the day the committee elections take place, may become members of the committee.
The committee includes:
One (1) President;
Two (2) Vice-Presidents;
One (1) General Secretary;
One (1) Assistant General Secretary;
One (1) Treasurer;
One (1) Assistant Treasurer;
An four ( 4) assessors.
The two presidents of the academic years in progress are coopted as observer members of the committee.
Committee members may be elected for two (2) successive mandates.
Duties within the association committee are assigned of common accord between the members.
The President represents the association in all civil matters. For instance, he may go to court in the name of the association.
In case of vacancy, the committee provisionnally replaces members until next general meeting.
 
Article 14 – Association Committee Meeting
The association committee meets at least once every three (3) months upon notification by the President or one of the proxy members of the committee appointed for that effect or upon decision of the two thirds of the members. Decisions shall be approved by a majority of votes. In case of equal votes, the president’s vote shall be casting.
The minutes of the meeting are written by the General Secretary.
 
Article 15 – Payment
The duties of committee members are incompatible with any other paid activity within the association.
 
Article 16 – Ordinary General Meeting
The ordinary general meeting includes all members having paid their subscription.
There is a quorum when one third (1/3) of the association members are present or represented by signed and certified proxy.
When quorum is not reached, a second notification is sent out at least fifteen (15) days after. Then the meeting is held validly whatever the number of members present or represented.
The notifications to attend the ordinary general meeting must be sent out at least 15 days before it is held, either by:
Advertisement in the newspapers;
Individual notification (fax, courrier, e-mail, …);
News bulletin communicated to all members of the Association.
The ordinary general meeting is held each year during the month of September.
Decisions are approved by a majority of votes.
The President, assisted by the committee members, chairs the meeting and presents the moral statement of the association. The Treasurer presents the records and submits a financial statement to the approval of the meeting.
The minutes of the ordinary general meeting are written by the General Secretary.
 
Article 17 – Extraordinary General Meeting
Upon the request of at least two thirds (2/3) of the members or request of the committee, the President may call an extraordinary general meeting to be held according to the modalities in Article 12. The quorum is fixed at half (1/2) of the association members.
When quorum is not reached, a second notification is sent out three (3) weeks after.
Then the meeting is held validly whatever the number of members present or represented.
Decisions are approved by a two thirds majority of the members present or represented.
The minutes of the extraordinary general meeting are written by the General Secretary.
 
Article 18 – Dissolution
The dissolution is decided by the extraordinary general meeting where a liquidator is appointed. The assets shall be given to an association with the same objective, according to dahir 1.58.376.

POLICIES AND PROCEDURES

A) SETTING-UP
Article 1
The ENPC-MBA Winners Morocco Association aims at promoting the ENPC MBA and strengthening bonds of friendship and solidarity among its members.
Article 2
Any extension in the scope of activities of the ENPC-MBA Winners Morocco Association can only take place upon a proposal by the association committee, approved by a majority of votes in general meeting.
Article 3
The association committee is made of 11 members : one president, two vice-presidents, one general secretary and his or her assistant and one treasurer and his or her assistant, four assessors. They are all accountable for the actions of the association.
On top of the association committee members, the two presidents of the academic years in progress are coopted as observer members, at the date of the elections of the ENPC-MBA Morocco committee. The observer members have no right to vote within the committee.

B) COMPOSITION
Article 4
The Association is made of active members being on the committee, adherent members and honorary members. All members of the Association shall have to fill in a membership form (annex attached) and to pay a subscription.
Article 5
The honorary members are proposed by at least three sponsors who must be on the committee.
Article 6
The position of honorary member shall be granted by the committee ratifying by a majority of votes.
C) SUBSCRIPTIONS
Article 7
The amount of the subscription is fixed at 300 Dirhams (Three Hundred Dirhams) a year. A modification of the amount may be decided by the general meeting by a majority of votes, upon proposal by the committee.
Article 8
The amount of the subscription for each calendar year is paid to the treasurer of the association against a receipt, by January 31st, each year.
Article 9
Honorary members are exempted from paying the subscription.
D) MEANS OF ACTION
Article 10
The numerous activities of the Association are the following:
The gathering of its members shall take place according to a schedule planned in advance by the serving committee and notified to the adherents at the beginning of the mandate.
The organisation and participation in cultural, social, economic events.
The organisation of symposia, seminars and meetings in a position to turn the association into a dynamic key player in the market.
The creation of bonds of meeting and co-operation with the global network of ENPC-MBA winners.
The implementation of partnership relationships with all national or international associations having the same objectives and motives as the ENPC-MBA Morocco Association.
The implementation of all the actions likely to increase the public image of the ENPC-MBA Morocco.
Article 11
Each elected committee should organise themselves around work commissions including adherent members of the association. The number of each commission shall not exceed 5 members. Each commission is chaired by a committee member who shall be responsible for choosing his or her team.
Article 12
Work commissions are set up within 15 days following the election of the committee.
Article 13
Each work commission is asked to prsent its action plan to the committee within 15 days following the setting-up. This action plan will be an integral part of the final action plan of the association committee.
E) EXCLUSION AND DEREGISTRATION OF THE ASSOCIATION, COMMITTEE AND WORK COMMISSION MEMBERS
Article 14
The exclusion from the Association is pronounced for serious misdemeanour. Only the committee may decide it by a majority of votes.
Article 15
Committee members, persistently absent three times without leave, shall be excluded from the committee. The presence sheet /signed during committee meetings shall prove it. The final decision shall be made by the committee president. The excluded members shall be replaced by new members through cooptation by the majority of the committee remaining members. In case of equal votes, the president’s vote shall be casting.
Article 16
Commission members, persistently absent two times without leave, shall be excluded from work commissions. The presence sheet signed during commissions’ meetings shall prove it. The president of the work commission may decide on the exclusion of one of his or her team members and his or her replacement by one of the association members, after consulting the Association committee members.
Article 17
In any case, the implicated adherent shall have the right and the opportunity to explain him or herself orally before the committee. Written explanations are admissible.
F) MEETING OF THE COMMITTEE AND WORK COMMISSIONS MEMBERS
Article 18
Committee members shall meet at least once every 3 months upon notification by the president including an agenda. The minutes of the meeting are written by the general secretary and given to the Association committee members, at the latest, within 15 days following the day the meeting is held.
Article 19
In case one of the committee members asks, at the beginning of the meeting, a new point to be added to the agenda, the committee shall decide to add this point or not, by a majority of votes of the members attending. The decision of the committee shall be final.
Article 20
Work commissions must meet at least every month upon notification by their presidents including an agenda. The minutes of the meeting are written and given to the Association committee members within 15 days following the day the meeting is held. At each meeting, a reporter shall be appointed to write the minutes.
G) FINANCIAL STATEMENTS
Article 21
The treasurerof the outgoing committee shall have to hand the instructions to the new treasurer by writing a report.
Article 22
The budget linked to any event may not be committed without prior consent of the committee, voting by a majority. Any modification shall be submitted to the committee for ratification.
H) ELECTIONS’ ORGANISATION
Article 23
Elections take place based on lists of 11 members notified at least 15 days before the day of the committee elections. The lists of candidates are given to the elections supervision commission in charge of supervising the good organisation of the elections. For representativeness reasons, each list of candidates shall necessarily include at least one member, holder of a diploma from one of the finished academic years, on the day the elections take place.
Article 24
The commission includes Presidents among ENPC-MBA students from both academic years in progress and a third member who does not appear in any list of candidates. One of the members is appointed to chair the commission.
Article 25
Before the elections take place, the representative of each list of candidates shall present, during 10 mn, their action plan to the adherents.
Article 26
The winning list who will make up the association committee is announced at the end of the elections in one round, to the maximum of votes.
